There are three kinds of company that you could choose to incorporate in Dubai:

3 Steps to Renew your Company:

  1. Ensure a Valid Trade License along with Ejari Attestation
  2. Obtain all the Necessary Approvals (as applicable), below are license that require special approvals:
    • Road transport activities
    • Oil related services
    • Legal activities
    • Telecommunications
    • Architectural and engineering activities
    • Veterinary activities
  3. Pay the license fees to the relevant government authorities.

With the aim of providing a high standard of customer service, Dubai has launched the Auto-Renew Service where you can send an SMS message with license number to 6969. Renewal Fees will be generated automatically and a payment voucher will be sent to the mobile number. Customer can pay online or offline through authenticated payment channels. DED will send a copy of the renewed license to the customer through SMS and registered email address.

Steps in Liquidating a Sole Proprietorship Company

  1. Fill in the Registration & Licensing Application form through approved application channels.
  2. Submit a copy of the license.
  3. Cancel the Establishment Card at the Ministry of Human Resources and Emiratisation.
  4. Collect business activity-specific approvals (only for business activities that require approvals of government bodies to cancel a license)
  5. Submit the above documents through APPROVED SERVICE CENTERS and collect license cancellation certificate.

Steps in liquidating a Branch company in DED:

  1. Fill in the Registration & Licensing Application form through APPROVED SERVICE CENTERS.
  2. Cancel the Establishment Card at the Ministry of Human Resources and Emiratisation.
  3. Submit an attested decision issued by the parent company to cancel the branch.
  4. Collect business activity-specific approvals (only for business activities that require approvals of government bodies to cancel a license)
  5. The Ministry of Economy’s decision to cancel the foreign company branch.
  6. Submit the above documents through APPROVED SERVICE CENTERS and collect license cancellation certificate.

Steps to Liquidate a Civil Works Company in DED:

  1. Fill in the Registration & Licensing Application form through APPROVED SERVICE CENTERS.
  2. Cancel the Establishment Card at the Ministry of Human Resources and Emiratisation.
  3. Cancel the foreign partners’ visas sponsored by the company.
  4. Collect business activity-specific approvals (only for business activities that require approvals of government bodies to cancel a license)
  5. Prepare a partnership cancellation contract authenticated by the notary public or any of the state’s courts.
  6. Submit the above documents through APPROVED SERVICE CENTERS and collect license cancellation certificate.

Steps to Close All Companies:

Phase one: Dissolve a company and appoint a liquidator

  • Prepare notarized minutes of the general assembly meeting to confirm the company liquidation along with a notice of appointment of a liquidator.
  • Prepare a letter issued by the liquidator accepting to liquidate the company along with the liquidator’s documents (a copy of the license, auditor registration certificate, a notarized signature specimen).
  • Fill in the Registration and Licensing Application form and submit the above documents through APPROVED SERVICE CENTERS.
  • A legal advisor in DED will then review your documents for obtaining certificates of the company dissolution and liquidators appointment.
  • You will be issued with a payment voucher to pay the company dissolution and the liquidator appointment fees of AED 2,020. You can pay fees and receive the certificate through APPROVED SERVICE CENTERS.
  • Publish a notice of liquidation in two Arabic local newspapers for one day only; the notice should give the debtors a grace period of 45 days from the date of the notice to submit their claims.

Phase two: Remove a Company from the Register

  • Prepare the company’s final report.
  • Prepare a declaration letter from the liquidator and the partners indicating that no objection from any other parties during 45 days from the date of announcement.
  • Cancel the Establishment Card at the Ministry of Human Resources and Emiratisation.
  • Cancel the foreign partners’ visas sponsored by the company.
  • Collect business activity-specific approvals (only for business activities that require approvals of government bodies to cancel a license)
  • Obtain the Ministry of Economy’s decision to cancel the company (for private shareholding companies).
  • Obtain the Securities and Commodities Authority’s decision to cancel the company (for public shareholding companies).
  • Submit all the above documents along with phase one documents through approved application channels to get the approval of DED legal advisor.
  • You will be issued with a payment voucher to pay the deregistration fees of AED 3,020. You can pay fees and receive the certificate of deregistration through approved payment channels.

If you choose to conduct business in Dubai mainland, you will need to register with DED, who will issue you with a Dubai business license.
